Shareholders of Cantor Equity Partners, Inc. (CEP) have approved the proposed business combination with Twenty One Capital, Inc. (Twenty One), paving the way for the Bitcoin-native company to trade on the New York Stock Exchange (NYSE) under the symbol “XXI” starting December 9, 2025.
At an Extraordinary General Meeting, CEP’s shareholders voted to approve the business combination and all related proposals. The final voting results for the meeting will be detailed in a Current Report on Form 8-K to be filed with the Securities and Exchange Commission (SEC) by CEP. This approval, alongside the satisfaction or waiver of other closing conditions outlined in CEP’s definitive proxy statement and Twenty One’s final prospectus, anticipates the consummation of the business combination and associated PIPE financings on or about December 8, 2025.
Following the completion of these transactions, the combined entity will operate under the name Twenty One Capital, Inc. Its Class A common stock is expected to begin trading on the NYSE on December 9, 2025, under the ticker symbol “XXI.” Twenty One is positioned as a newly formed operating company exclusively focused on Bitcoin-related business lines, aiming to provide shareholders with exposure to Bitcoin through equity markets. The company plans to leverage a Bitcoin-native operating structure and a strategy designed to deliver long-term value, with the objective of becoming a leading vehicle for capital-efficient Bitcoin accumulation and related business development.
