ProCap Financial, Inc. (Nasdaq: BRR) announced its plan to acquire CFO Silvia, Inc., an AI agent lab focused on finance, with the strategic goal of becoming the first publicly traded agentic finance firm dedicated to helping independent investors generate wealth. ProCap Financial aims to harness artificial intelligence to create financial abundance, counteracting potential economic disruptions posed by AI. The company intends to build accurate and valuable AI models and agents for finance, enabling it to offer unique products and services to independent investors with an efficient, agent-driven operational model. The acquisition of Silvia, formalized in an agreement on February 8, 2026, is central to this strategy. Silvia’s consumer product, launched publicly in May 2025, provides proprietary AI agents to digital-native, wealthy users, connecting various assets for real-time analysis and personalized financial insights. Since its launch, Silvia has accumulated over $30 billion in assets on its platform, with an average user net worth exceeding $2.5 million and 94% user interaction with its AI features across an average of 12 connected accounts per user. Anthony Pompliano, Chairman and CEO of ProCap Financial, stated that the transaction would bring an agentic AI platform to public markets, providing independent investors with direct access to technology designed for wealth creation. He emphasized the company’s goal to “deliver superhuman intelligence to everyday investors so they can make money” and highlighted the urgency of acting now to build wealth before AI-driven economic shifts occur. ProCap Financial cited several benefits from this acquisition, including establishing itself as the first publicly traded agentic finance firm that prioritizes automation and AI agents. The move also offers retail investors access to Silvia, described as a rapidly growing AI platform at the intersection of AI and Bitcoin. ProCap Financial’s balance sheet currently holds 5,007 Bitcoin, aligning with its long-term capital allocation strategy. The acquisition is structured as an all-stock transaction. The consideration for Silvia shareholders is conditional on ProCap Financial’s stock price increasing by over 400%, with 50% of the equity locked until the stock reaches $9.00 and the remaining 50% forfeited if the $9.00 threshold is not met within five years. The Proposed Transaction is subject to customary closing conditions, including approval by ProCap Financial’s shareholders, with a vote anticipated by the end of the first quarter of 2026 and closing expected shortly thereafter. Following the close, Shain Noor, Silvia’s Co-Founder, is slated to become Chief Technology Officer for ProCap Financial. As of February 8, 2026, ProCap Financial reported $72 million in cash and $100 million outstanding from its convertible note offering, reduced from $235 million. The company plans to release its fiscal year December 31, 2025 earnings on February 18, 2026, after market close, with a pre-recorded video available on its investor relations website.
