LucyRx, a next-generation pharmacy benefits manager (PBM), has announced the completion of its acquisition of CerpassRx, a full-service PBM. This strategic integration expands LucyRx’s reach to serve over 1.5 million members and thousands of plan sponsors across the United States.

The acquisition combines CerpassRx’s cost-containment expertise with LucyRx’s suite of solutions, which includes its Care Guides, Formulary Marketplace, and proprietary AI platform, LucyIQ. This synergy aims to broaden access to innovative programs, enhance support for clients and members, and improve clinical outcomes in prescription care.

In conjunction with the acquisition, John Nicolosi, PharmD, who previously served as Interim President of CerpassRx, has been appointed Chief Clinical Pharmacy Officer of LucyRx. Dr. Nicolosi brings nearly 15 years of PBM leadership experience and a track record in clinical innovation and client service. In his new role, he will oversee LucyRx’s clinical programs to reinforce the company’s commitment to improved outcomes and clarity in prescription care. Integration efforts between both organizations are currently underway to facilitate a seamless transition for all stakeholders.

Both LucyRx and CerpassRx emphasize service-first values. CerpassRx contributes established cost-containment strategies and client relationships, while LucyRx adds scale, innovation, and clinical depth. LucyRx’s offerings include its proprietary Formulary Marketplace, Connected Specialty Care Network, and a personalized Care Guide model. The company also offers specialized programs addressing high-impact areas such as GLP-1 therapies and women’s health, designed to improve health outcomes and manage costs effectively.

David Blair, CEO of LucyRx, stated, “This acquisition represents continued momentum for LucyRx and an important next step in expanding our patient first approach to more employers and members. We know what works: combining innovation, clarity, and trusted service, and this partnership allows us to deliver that at an even greater level. With John as Chief Clinical Pharmacy Officer, we are doubling down on our clinical depth and our commitment to clients and members.”

Mark Newman, CEO and Co-Founder of Nomi Health, which previously owned CerpassRx, commented, “We’re incredibly proud of the foundation CerpassRx has built under Nomi Health, and LucyRx is the right partner to carry that work forward. LucyRx shares our commitment to transparency, innovation, and putting people first. We’re confident this next chapter will create long-term value for clients, members, and the market as a whole.”

Susan Thomas, Chief Commercial Officer of LucyRx, added, “For our clients, this combination means continuity and more. They’ll keep the trusted teams and service they rely on, while gaining access to LucyRx’s broader platform, from specialty care to innovative clinical programs, that makes prescription care more transparent, more affordable, and more impactful.”

Dr. Nicolosi remarked, “I’m honored to take on this role and continue serving our clients and members in partnership with LucyRx. I have seen firsthand how the right PBM partner makes a difference. Together, we will build on that foundation, putting people first and delivering not only savings but better outcomes and peace of mind for the employees and families who rely on us.”

For clients and members, the integration ensures no disruption to current account teams, ID cards, or support channels. It also promises enhanced clinical support and smarter savings through the combination of LucyRx’s Care Guides and expanded clinical programs with CerpassRx’s cost-containment model. This move builds upon LucyRx’s established record of lowering costs, improving access, and delivering outcomes.
