Adastra Group SE Announces Majority Acquisition by Global Investment Firm Carlyle

Adastra Group SE, a global IT consultancy specializing in AI, data, and cloud transformations, has announced that global investment firm Carlyle (NASDAQ: CG) has agreed to acquire a majority stake in the Group. Completion of the acquisition is contingent on standard regulatory approvals across multiple jurisdictions.Adastra, founded in 2000 with headquarters in Prague, Czech Republic, and Toronto, Canada, assists customers through their AI, data, and cloud journeys by defining data and AI-driven strategies and implementing transformative solutions. The company possesses expertise across sectors including financial services, automotive, manufacturing, TMT (technology, media and telecom), healthcare, retail, and professional services. Adastra employs over 2,000 professionals across North America, Europe, and Asia.In collaboration with Adastra’s founders, Carlyle intends to support the business in expanding its data, cloud, and AI offerings, serving both existing and new clients, and growing its international presence through organic investments and targeted mergers and acquisitions. Equity for the investment will be provided jointly by Carlyle Europe Technology Partners V (“CETP”), a fund focused on technology investments in Europe, and Carlyle Asia Partners Growth II (“CAPG”), a fund that invests in high-growth companies across Asia.Carlyle brings a history of investing in and scaling IT services companies globally. Rob Turner, CEO, and Pavel Kysela, COO, of Adastra, stated that this acquisition represents a significant and transformative step for the company, anticipating a new phase of growth in the global AI, data, and cloud services market through Carlyle’s global network.Vladimir Lasocki, Co-Head of the CETP investment advisory team, and Greg Zeluck, Co-Head of the CAPG investment advisory team, commented on the opportunity to expand Adastra’s presence in the large, fast-growing market for data, analytics, cloud, and AI transformations. They believe Adastra is well-positioned to accelerate its growth trajectory through a combination of organic initiatives and M&A, leveraging Carlyle’s resources, global footprint, and experience in this sector.Carlyle is a global investment firm with $453 billion of assets under management as of March 31, 2025, employing over 2,300 people in 29 offices across four continents. J.P. Morgan served as financial advisor to Adastra on the transaction.
