Zenchef, a provider of digital solutions for restaurants across Northern Europe, and CoverManager, with a strong presence in Southern Europe and Latin America, have announced their strategic decision to merge, aiming to create a leading European entity in restaurant revenue management.

This strategic combination brings together two innovative and independent players in the digitalization of the restaurant industry. Zenchef offers advanced tools for managing online reservations, customer relationships, and digital visibility. CoverManager focuses on optimizing the guest experience, loyalty, and yield management, with a high-end platform. The combined group intends to provide a comprehensive and independent Revenue Management Platform that moves beyond basic reservation systems. This platform is designed as a powerful, AI and data-driven ecosystem, enabling restaurants to control the entire guest journey from discovery to loyalty while maximizing revenue and profitability.

With a combined network of over 36,000 restaurants handling more than 650 million guest experiences annually across over 20 countries, the new group seeks to establish itself as a prominent alternative to existing global platforms. A core objective is to return control to restaurateurs by offering tools that facilitate digital presence, customer data management, and bookings without incurring commissions or relying on third-party intermediaries. The combined entity also reinforces its position in the fine-dining segment, serving nearly 800 Michelin-starred restaurants, including 60% of such establishments in France and the Benelux, and 50% in Spain.

Leveraging their complementary strengths, CoverManager and Zenchef anticipate accelerating innovation and scaling the delivery of next-generation tools to meet the evolving needs of restaurants. Their shared vision centers on empowering restaurants to own their customer relationships and data, fostering sustainable growth and profitability through independence and innovation. The combined group is positioned to benefit from product synergies, accelerated geographic expansion, and an enhanced value proposition within the rapidly evolving hospitality sector. Industry trends such as digitalization, multi-channel inventory management, and the increasing need for direct guest relationships contribute to a significant market opportunity, valued at over €4 billion. With more than 500 employees and operations in 10 countries, the new group is positioned to lead this industry transformation.

The two companies will continue to operate under their respective brand names and maintain their current headquarters, with Zenchef in Paris, France, and CoverManager in Seville, Spain. This structure aims to ensure operational continuity for clients and partners. Both brands will remain independent to capitalize on their recognition and local expertise, with founders and management teams continuing to drive performance. A newly formed holding company will oversee both businesses, with Thomas Jeanjean, CEO of Zenchef, serving as the CEO of the new group.

“This combination marks a major milestone in our mission to support restaurateurs with independent, high-performance tools,” stated Thomas Jeanjean, CEO of Zenchef. “Together, we’re aiming to build the most robust, AI and data-driven ecosystem in the market – one that helps restaurants thrive and grow on their own terms. We look forward to working hand-in-hand with the CoverManager team to build the future of restaurant technology and accelerate our impact across Europe and globally.”

José Antonio Pérez, CEO of CoverManager, added, “By joining forces with Zenchef, we are building a gold standard in tech for the hospitality industry, allowing us to amplify our impact and accelerate our shared vision. This combination enables us to deliver even greater value to restaurants, empowering them to take control of their destiny in a highly competitive market and to deliver memorable guest experiences.”

PSG Equity, which has held a majority stake in Zenchef since 2022, will remain the majority shareholder of the combined group, providing continued support for its growth. Edward Hughes, Managing Director at PSG Equity, commented, “We are proud to support the combination of Zenchef and CoverManager, two exceptional European companies with complementary strengths and a shared commitment to restaurant success. This partnership reflects PSG’s strategy to propel European category champions with global potential, and we believe the new platform is well-positioned to transform how restaurants manage and grow their revenue.”

The transaction is expected to close during Q3 2025. Financial terms of the transaction were not disclosed.
