XTM Inc. Partners with AGORACOM RWA DBX to Tokenize U.S. Subsidiary’s Preferred Shares

XTM Inc., a fintech company specializing in automated tip calculation, instant payout, and earned wage access (EWA) solutions, has announced a binding Letter of Intent (LOI) with Dubai-based consulting agency AGORACOM RWA DBX to support the tokenization of Preferred Shares in its U.

S. subsidiary, XTM USA. This initiative aims to unlock non-dilutive capital by leveraging digital asset markets and real-world asset (RWA) tokenization infrastructure.

XTM USA holds the intellectual property for the company’s Earned Wage Access solution and key operating contracts. This subsidiary’s market reach is projected to encompass over 150,000 daily wage earners by 2026. The proposed tokenization specifically pertains to Preferred Shares within this private subsidiary and does not involve any blockchain token associated with XTM Inc.’s common equity or public listing.

Under the terms of the LOI, AGORACOM RWA DBX will serve as XTM Inc.’s exclusive consulting agent for six months. The agency is tasked with coordinating the structure, jurisdictional compliance, and execution of the tokenization process, working alongside independent partners. A definitive Consulting Agency Agreement is expected to be executed within 90 days.

AGORACOM RWA DBX, a Dubai-based firm, specializes in assisting small and mid-cap public companies in accessing growth capital through the tokenization of real-world assets held in their subsidiaries.
