Beyond, Inc. (NYSE:BYON), the largest equity holder in tZERO, has sent a follow-up letter to tZERO’s management and Board of Directors, advocating for specific actions to enhance value and capitalize on current market conditions within the digital assets space.
In the letter, Marcus Lemonis, Executive Chairman of Beyond, Inc., emphasized that tZERO possesses the fundamental elements—licenses, intellectual property, and an early market position—to lead in the U.S. digital assets sector. He stressed the need for rapid and deliberate execution to leverage growing institutional and regulatory momentum.
Beyond, Inc. outlined several prioritized recommendations for tZERO. These include filing a shelf registration or utilizing Beyond’s existing public infrastructure to provide flexibility for capital raises, mergers and acquisitions, and broader strategic initiatives. The company also advised restructuring tZERO’s board to include individuals with extensive operating and regulatory experience in digital assets, aligning governance with current market opportunities.
Further recommendations involve engaging global partners who can actively drive deal flow and contribute real-world assets to the platform, with incentives extending beyond their own asset monetization to include participation in the platform’s value creation. Beyond, Inc. also urged advancing the Layer 2 strategy only with partners ready for immediate execution, directly linking it to onboarding significant real-world asset volume and fostering usage from inception.
The letter called for a full-scale marketing and public relations initiative to elevate tZERO’s public profile and clearly communicate the differentiated value of its technology stack, specifically mentioning the Proof platform and the Marketplace Asset Protocol (MAP) infrastructure. Finally, Beyond, Inc. recommended converting TZROP into equity, citing its position as the largest TZROP holder. This conversion at fair value, according to Beyond, Inc., would simplify the capital structure, align stakeholder incentives, and provide tZERO greater flexibility for capital raises, partnerships, and roadmap execution.
