(OTCPK: WBSR), in conjunction with its development subsidiary Forge Atlanta Asset Management, LLC (FAAM), has announced plans to integrate the regulated digital financial infrastructure developed by Torch, LLC through its Torch-RWA platform into the Forge Atlanta development project.
This integration is designed to enhance transparency, secure record-keeping, and automate payment processing. It does not modify the ownership, governance, control, or existing financing structure of Forge Atlanta. The project will continue to be developed and financed using established institutional real-estate standards, including conventional debt and equity, public-sector participation, and approved bond financing.
The Torch-RWA platform, a governed digital infrastructure, is intended to operate alongside existing financial infrastructure, rather than replacing banks, bonds, or institutional lenders. It supports compliant record-keeping and payment distribution for certain real-world financial instruments. Torch-RWA does not own or develop real estate, manage Forge Atlanta, replace traditional lenders or capital markets, or convey equity, voting rights, or ownership interests.
Any potential future use of regulated digital securities or project-level cash-flow participation instruments would be implemented only at the project level, exclusively for verified and eligibility-approved participants, and contingent upon all applicable regulatory approvals and compliant offering documentation. Such instruments would not represent equity, ownership, profit-sharing, or voting interests in FAAM LLC or its affiliates. FAAM is collaborating with Torch as they develop their exchange for the registration of the RWA Token. Currently, no live digital assets are in existence, and any future offerings will require necessary regulatory approvals and full compliance with the SEC or relevant foreign authorities.
Forge Atlanta is a multi-phase mixed-use district planned for downtown Atlanta. Independent third-party analyses project the development to generate significant long-term economic impact and employment, expand the regional tax base, and transform an underutilized corridor.
